Oklahoma guide
Selling an Oklahoma dental practice, before the DSO's letter sets the terms.
A practice is both your income and your largest asset. When a DSO or an associate makes an offer, the headline price is the part you see. The terms, the taxes and what happens to the building decide what you keep.
Price versus terms
DSO offers often combine cash at close, equity in the DSO, and an earn-out tied to future production. Each is valued and taxed differently, and the equity may be hard to sell. Your attorney negotiates the agreement; we model what each piece means for your family’s plan.
The building
If you own the real estate, you can sell it, lease it to the buyer, or hold it. Each choice changes your income in retirement and your estate.
The Oklahoma deduction
Oklahoma allows a deduction for qualifying capital gain on the sale of an Oklahoma business, if holding-period and location tests are met. Read selling an Oklahoma business for the tests and the ways a sale stops qualifying. Your CPA files; we plan the timing.

The retirement plan and the staff
A sale ends or changes the practice’s retirement plan. Decide what happens to it, and to your team’s accounts, before closing, not after.
Questions we get
Should I take the DSO offer?
That’s your decision. We estimate what each version may be worth to you after taxes and over time, with the tradeoffs said out loud.
Do you work with my dental CPA and transition attorney?
Yes, with your authorization.
How are you paid?
An advisory fee, quoted in writing before you sign. See Form ADV Part 2A, Item 5. Jeremy Baldwin also sells insurance through The Baldwin Insurance Firm, LLC, which earns commissions (Form ADV Part 2A, Items 5 and 10).
